2. Description of Services
Leadiere is an integrated revenue growth and customer relationship management platform that offers CRM, marketing automation, funnels, messaging (email & SMS), appointment scheduling, reputation management, and analytics software. Lumiere Systems Inc. reserves the right to modify, enhance, or discontinue features as necessary to maintain service quality and reliability.
3. User Accounts & Responsibilities
- Account Accuracy: You must provide accurate, current, and complete details during registration and keep your account profile updated.
- Security: You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
- Authorized Use: You agree not to use the Services for any illegal purpose or in violation of applicable federal, state, or international laws.
4. SMS Terms & Conditions (Mobile Messaging Program)
This Section 4 governs the Leadiere SMS & Mobile Messaging Program (the "Messaging Program"). Leadiere is a brand operated by Lumiere Systems Inc. By providing your mobile phone number and opting in to receive SMS messages from Leadiere, you agree to the terms below. This language is provided in compliance with the Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles and Best Practices, and the A2P 10DLC (Application-to-Person 10-Digit Long Code) registration requirements administered by The Campaign Registry.
4.1 SMS Program Description
By providing your mobile phone number and opting in to receive SMS messages from Leadiere (operated by Lumiere Systems Inc.), you agree to receive text messages related to your interactions with us, including but not limited to:

After you send STOP, you may receive a confirmation message indicating that you have been unsubscribed. After that, you will no longer receive SMS messages from us unless you separately opt in again.

4.6 Supported Carriers
SMS availability may vary by mobile carrier. Leadiere (operated by Lumiere Systems Inc.) does not guarantee that messages will be delivered successfully by every carrier or in every geographic location.
4.7 Changes to the SMS Program
We reserve the right to modify, suspend, or discontinue our SMS messaging program at any time. We may also update these SMS Terms & Conditions when necessary. Any changes will become effective when posted on our website unless otherwise stated.
4.8 Privacy
Your personal information, including your mobile phone number, will be handled in accordance with our Privacy Policy. We will not sell or share your mobile phone number with third parties for their own marketing purposes without your consent, except as permitted or required by applicable law.
4.9 Eligibility
By opting into our SMS program, you represent that you are the account holder or authorized user of the mobile phone number provided and that you are legally permitted to consent to receiving SMS communications.
4.10 No Warranty

4.12 Acceptance of Terms
By opting into SMS communications from Leadiere (operated by Lumiere Systems Inc.), you acknowledge that you have read, understood, and agreed to these SMS Terms & Conditions.
5. Fees, Subscriptions & Payments
- Billing: Services are billed on a subscription basis (monthly or annually) as selected during purchase. All fees are charged in US Dollars ($USD).
- Renewals: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- Refund Policy: Fees paid are non-refundable except where explicitly required by law or specified in a formal enterprise contract with Lumiere Systems Inc.
6. Intellectual Property Rights
The Leadiere software, website design, branding, logos, graphics, and code are the exclusive property of Lumiere Systems Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business operations in accordance with these Terms.
7. Limitation of Liability & Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LUMIERE SYSTEMS INC. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL LUMIERE SYSTEMS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in state or federal courts located in Houston, Texas.
