These Terms & Conditions govern your access to and use of the Leadiere platform, websites, applications, and services provided by Lumiere Systems Inc.

1. Acceptance of Terms
By creating an account, subscribing to a plan, or using the Leadiere platform ("Services"), operated by Lumiere Systems Inc. ("Company", "we", "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our Services.
2. Description of Services
Leadiere is an integrated revenue growth and customer relationship management platform that offers CRM, marketing automation, funnels, messaging (email & SMS), appointment scheduling, reputation management, and analytics software. Lumiere Systems Inc. reserves the right to modify, enhance, or discontinue features as necessary to maintain service quality and reliability.
3. User Accounts & Responsibilities
- Account Accuracy: You must provide accurate, current, and complete details during registration and keep your account profile updated.
- Security: You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
- Authorized Use: You agree not to use the Services for any illegal purpose or in violation of applicable federal, state, or international laws.
4. Acceptable Use & Messaging Compliance
Compliance with Spam and Messaging Laws:
You agree to comply with all applicable messaging and privacy regulations including CAN-SPAM Act, TCPA (Telephone Consumer Protection Act), and A2P 10DLC requirements. You must obtain explicit opt-in consent before sending automated SMS or commercial email campaigns through Leadiere. Unsolicited bulk messaging, spam, or purchasing unauthorized lead lists is strictly prohibited and will result in immediate account suspension.
5. Fees, Subscriptions & Payments
- Billing: Services are billed on a subscription basis (monthly or annually) as selected during purchase. All fees are charged in US Dollars ($USD).
- Renewals: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- Refund Policy: Fees paid are non-refundable except where explicitly required by law or specified in a formal enterprise contract with Lumiere Systems Inc.
6. Intellectual Property Rights
The Leadiere software, website design, branding, logos, graphics, and code are the exclusive property of Lumiere Systems Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business operations in accordance with these Terms.
7. Limitation of Liability & Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LUMIERE SYSTEMS INC. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL LUMIERE SYSTEMS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in state or federal courts located in Houston, Texas.
